Scope of the role 

To support the continuous growth of our business we are looking to hire a Legal Counsel to report into the General Counsel, based in our London office.

Roles and Responsibilities 

  • Undertake a varied workload in a demanding environment.
  • Assist the business achieve its needs by meeting deadlines to review and/or draft documentation such as NDAs, Master Trading Agreements, ISDA Schedules and Credit Support Agreements, Collateral Agreements, Digital Assets Lending Documentation.
  • Assist the HR department in preparing and/or negotiating employment Agreements, Consultancy Agreements, and dealing with employers of Record.
  • Assist the business in reviewing and/or negotiating supplier/vendor Terms and Conditions, Master Service Agreements, Exchange Terms of Use, amongst others.
  • Assist in all manner of corporate and company secretarial matters such as preparation of board minutes, updating registers and filings with the relevant authorities.
  • Using appropriate resources, review laws and regulations of multiple jurisdictions and advise on how they impact the business.
  • Support the business in multiple jurisdictions in making licence applications to local regulators.
  • Keep up to date and maintain a dialogue with compliance on regulatory developments in the digital asset space.
  • Reviewing digital assets and/or other products the business may want to trade from a regulatory and legal perspective.
  • To undertake legal administrative tasks, such as arranging execution of documents and appropriate filing of documentation.

Requirements:

  • Qualified solicitor with admission to practice in England and Wales; 3-8 years PQE in a top tier law firm and/or in-house.
  • Experience working with or within a financial institution or fintech environment.
  • A demonstrable interest and understanding of the laws and regulations applicable to digital assets.
  • Understanding of MIFID, FSMA, EMIR, and MICA.
  • Ability to work under pressure and manage a diverse workload.
  • Excellent communication skills.

Skills Desired

  • Experience of working with or within a digital asset and/or FX trading environment.
  • Ability to negotiate ISDA and other transactional trading documentation.
  • Experience of working on New York law related matters/ admission to practice in the US.
  • Experience of working on corporate matters such as incorporating new entities, governance and company secretarial matters.
