Group Company Secretary 

London Victoria office - 4 days a week office based - 1 day per week home working

Ebury is looking for a Group Company Secretary to provide high quality, professional company secretarial services primarily to the English holding company and promote good corporate governance throughout the group.  We are looking for an enthusiastic and driven individual who is keen to work in a fast-paced, dynamic and growing company which is focused on building the Ebury brand and helping Ebury transition from a private to a publicly listed company. The person who fills this role will report to the General Counsel. 

Responsibilities include:

  • Working with the relevant chairs of the boards and committees to plan the annual calendar of work for boards and committees.
  • Arranging, preparing meeting packs, attending and minuting committee and board meetings.
  • Maintaining action logs arising out of meetings and driving completion of actions by accountable executives.
  • Advising on company secretarial procedures, drafting of board and, where appropriate, shareholder resolutions and RNS announcements, and execution of corporate actions.
  • Administration and maintenance of the company secretary software, Diligent Entities and Diligent Boards.
  • Advising the board and senior management on the UK Listing Rules, Disclosure Guidance and Transparency Rules, Market Abuse Regulation and other relevant rules and regulations affecting a UK listed company and ensuring compliance with them.
  • Oversight of the maintenance of the Insiders List and ensuring application of the company’s Share Dealing code.
  • Managing the annual general meeting and any other general meetings of shareholders, ensuring compliance with the UK Corporate Governance Code and the company's articles of association, and facilitating shareholder engagement and voting.
  • Oversight, liaison and review of performance of company secretarial services provided by third parties performing legal entity management.
  • Project managing the production of the annual report and accounts, liaising with the finance department and auditors, arranging board approvals and timely filing with the Companies House.
  • Advising on corporate governance best practice and making recommendations to boards or committees impacted by changes in applicable governance requirements.
  • Maintaining the Group structure chart.
  • Assisting with KYC and due diligence requests.
  • Liaising with the company's registrars, brokers, auditors, lawyers and other advisers on matters relating to the company's listing, share capital, shareholder communications and corporate transactions.


Key skills requirements include:

  • Significant experience as a company secretary in a UK listed business, preferably in the financial services sector and within organisations with cross-jurisdictional operations. 
  • CGI qualified.
  • Knowledge of relevant legal and regulatory requirements, particularly UK company law, rules relevant for UK listed companies and corporate governance best practice.
  • Experience of executive and employee share schemes.
  • Good understanding and previous experience of implementing company secretarial software.
  • Confident stakeholder management and experience of working with board/C-Suite stakeholders.
  • Ability to work independently, under pressure and to tight deadlines, managing competing priorities.
  • Able to deliver quality written reports or minutes with excellent attention to detail.
  • Ability to design and implement new ways of working, based on company secretarial and corporate governance best practice.
  • Ability to take ownership and drive projects forward.
