We are seeking an experienced and meticulous Business Administrative Executive with a strong background in corporate governance and business administration to join our team. This role involves overseeing the administrative and compliance aspects of our group companies across various jurisdictions. The successful candidate will be responsible for maintaining corporate records, liaising with shareholders, managing legal filings, preparing board resolutions, handling investor communications, organizing board meetings, and ensuring up-to-date records for UBOs. This position requires a strong understanding of corporate governance, meticulous attention to detail, exceptional organizational skills, and the ability to coordinate effectively with various stakeholders.
Key Responsibilities:
- Assist in maintaining and enhancing corporate governance practices to ensure compliance with internal policies, statutory requirements, and external regulations.
- Act as the primary liaison for corporate governance matters between statutory company secretaries, shareholders, investors, and other key stakeholders.
- Manage and maintain up-to-date corporate records for group companies, including the registry of contracts, agreements, and detailed records of Ultimate Beneficial Owners (UBOs).
- Prepare and file necessary corporate governance documents, including board resolutions and regulatory filings.
- Coordinate and manage signatures on agreements, contracts, and other official documents, ensuring compliance with legal and regulatory requirements.
- Coordinate and schedule board meetings, prepare materials, and record accurate minutes.
- Organize and facilitate group committees covering areas such as compliance, banking, partnerships, etc., scheduling meetings, preparing agendas and presentations, taking minutes, documenting action points and tracking progress.
- Collaborate with internal stakeholders, including legal, finance, and senior management, to address governance-related issues, optimize existing processed and implement best practices.
- Provide secretarial support to the executive leadership team and strategic administrative support across the organization.
Requirements:
- 6+ years of proven experience in a similar role, preferably within a regulated industry or public company environment.
- Strong understanding of corporate governance principles, regulatory requirements, and best practices.
- Excellent communication skills, both written and verbal, with the ability to interact effectively with individuals at all levels of the organization.
- Maintain a high level of confidentiality and professionalism in handling sensitive information and discussions.
- Exceptional organizational and time-management skills, with the ability to prioritize tasks and manage multiple deadlines simultaneously.
- Proficiency in Microsoft Office suite and other relevant software applications.
- Attention to detail and a commitment to accuracy in all tasks.
- Ability to work independently with minimal supervision and as part of a collaborative team.
- Fluency in English, with proficiency in additional languages considered a plus.
