Essential functions of the job include but are not limited to:

Contracting Management:

  • Draft, review, and negotiate a wide range of contracts, including master services agreements, License Agreements, vendor contracts, Statement of work, confidentiality agreements, amendments, among others, using corporate templates, clause libraries, and following internal Policies and Procedures.
  • Providing accurate and timely advisory to the different internal business units and executives.
  • Communicating with external and internal parties creating relationships of trust.
  • Keeping business stakeholders properly and timely informed of the progress and status of the contracts.
  • Keeping track of the contracting processes in the contract management and repository systems, and facilitating the signature process and uploading contracts.
  • Maintaining current knowledge of changes in business law, contracts legislation and other regulations.
  • Conducting your work with the highest degree of integrity, responsibility, and excellence in client service.
  • Other duties as assigned.

Corporate Governance:

  • Advise the Board of Directors on corporate governance matters.
  • Ensure the company's corporate governance framework meets best practices and regulatory requirements.
  • Oversee the preparation and management of board meetings, minutes, and resolutions.

Risk Management:

  • Identify and assess legal risks and develop strategies to mitigate them.
  • Manage litigation and dispute resolution processes.
  • Provide guidance on risk management policies and procedures.

Intellectual Property:

  • Protect and manage the company's intellectual property portfolio, including patents, trademarks and copyrights.
  • Advise on IP strategy and enforcement.
  • Cross-Functional Collaboration:
  • Work closely with other departments (e.g., product, compliance, finance) provide legal support and ensure alignment with company goals.
