The Role:

The role of the Structuring Director within Stenn’s Capital Markets Team is to structure, negotiate and manage all aspects of the implementation of finance transactions undertaken by the Capital Markets Team, both in connection with the raising of funding from Stenn Group’s investment partners and the financing Stenn Group and its related entities make available to Stenn’s customers.  

The Structuring Director will actively lead the execution of transactions to ensure consistent, high quality due diligence is undertaken and that all transactions are executed in accordance with the Capital Markets Team’s high level of professionalism and excellence.

The Structuring Director will be a critical member of the team working on a wide range of transactions, including the development and structuring of new and innovative financing products.

Responsibilities:

  • Structure and execute a variety of finance transactions in consideration of Stenn’s funding programmes and prevailing market conditions.
  • Design and implement new strategic products and Capital Markets initiatives.
  • Lead the execution of trades, including but not limited to the legal and commercial negotiation of the transactions.
  • Liaising with internal legal and external legal to coordinate and monitor legal advice, the drafting and circulation of documentation and smooth and timely closing of transactions.
  • Coordinating with the operational functions within Stenn to ensure efficient transaction execution.
  • Undertaking due diligence to ensure suitability of underlying documentation and compliance with Stenn’s funding criteria and internal policies and procedures.
  • Reviewing and commenting on documentation prepared in connection with the Capital Markets Team’s financing transactions, including any amendments to Stenn standard form documentation.
  • Coordinating the preparation and obtaining of conditions precedent, including corporate authorisations, document collation, execution formalities and post-completion matters.
  • Identifying and raising key legal and commercial issues surrounding investment documentation or process to internal and/or external counsel and participate in investment or financing discussions and negotiations..
  • Keeping a detailed record of the status of the transactions, identifying outstanding issues or actions and allocating them, where appropriate, to the other operational functions within Stenn and ensuring consistent follow-up and resolution.

Success in the role:

  • Delivering transaction execution excellence.
  • Developing processes and procedures to streamline the completion of customer transactions.
  • Developing the understanding of more junior members of the Capital Markets Team and/or new hires to the Team of Stenn’s standard form customer-facing documentation, its operation and completion.
  • Becoming the key contact person within the Capital Markets Team with knowledge of the detailed status of funding transactions, outstanding issues and actions that need to be taken to complete the transaction.

Background/Experience:

  • Extensive experience of managing and negotiating complex transactions within the context of banking and finance.
  • Good organisational skills and ability to multitask and prioritise to efficiently run a number of work streams with competing deadlines.
  • Highly self-motivated and able to work with little direction.
  • Self confident with the credibility, judgement and maturity to interact at senior levels, both internally and with customers and investors.
  • Ability to develop good working relationships with internal teams and with external advisers.
  • Proactive and collaborative team player.
  • Strong oral and written communication skills, with high attention to detail and accuracy.
